Terms & Conditions

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("user," "you," or "your") and Novela AI LLC ("Novela AI," "we," "our," or "us"). They govern your access to and use of NovelHive, our websites, mobile applications, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility & Account Registration

1.1 Age Requirement.

You must be at least 13 years old and able to form a legally binding contract to use the Service. If you are under 18, you represent that you have obtained parental or guardian consent.

1.2 Account Information.

You agree to provide accurate, complete, and current information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

1.3 Suspension & Termination.

We may suspend, disable, or terminate your account at our sole discretion if you violate these Terms, applicable law, or engage in activity that could harm the Service or other users.

2. Credits, Payments & Refunds

2.1 Credits.

Novel generation and certain features require virtual credits. Credits are available for purchase through Stripe or other approved payment processors.

2.2 Pricing & Taxes.

All prices are listed in U.S. dollars and are subject to change. You are responsible for any applicable taxes.

2.3 No Expiration.

Purchased credits do not expire unless stated otherwise at purchase. Promotional or free credits may carry expiration dates.

2.4 Refund Policy.

All credit purchases are non-refundable except where required by law. If a generation fails due to a system error, we may restore the spent credits at our discretion.

2.5 Chargebacks.

Initiating a chargeback may result in immediate account suspension until the dispute is resolved.

3. Generated & User-Generated Content ("Content")

3.1 Ownership of Original Works.

Subject to these Terms, you retain all rights to the text and images you generate or upload through the Service.

3.2 License to Novela AI.

You grant Novela AI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your Content as necessary to operate and promote the Service. For publicly shared Content, this license includes the right to publicly display the Content on NovelHive and in marketing materials.

3.3 Third-Party IP.

You are solely responsible for ensuring your Content does not infringe any third-party intellectual property rights. Do not input copyrighted material you do not own or have permission to use.

3.4 DMCA Policy.

We respond to properly submitted Digital Millennium Copyright Act (DMCA) notices. Repeat infringers' accounts may be terminated.

3.5 AI Output Disclaimer.

AI-generated text may be inaccurate, biased, or offensive. You are responsible for reviewing and editing any output before sharing or publishing.

4. Acceptable Use

You agree not to:

Violate any applicable law or regulation;
Post or generate content that is defamatory, obscene, hateful, harassing, deceptive, or otherwise harmful;
Attempt to reverse engineer, decompile, or discover the source code of the Service or third-party models used;
Circumvent technical limitations, rate limits, or security measures;
Use the Service to develop or train competing machine-learning models;
Engage in automated scraping, bulk data harvesting, or similar activities without written permission.

We reserve the right to remove or disable content and to investigate and take appropriate action against any user who violates this policy.

5. Intellectual Property of Novela AI

All software, graphics, logos, trademarks, and other materials provided by Novela AI are the property of Novela AI or its licensors and are protected by intellectual property laws. Except for the limited rights granted in these Terms, you acquire no ownership or other rights.

6. Disclaimers

No Warranty. The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Availability. We do not guarantee that the Service will be error-free, uninterrupted, or available at all times.
Accuracy. We make no warranties regarding the quality, accuracy, or reliability of AI-generated content.

7. Limitation of Liability

To the fullest extent permitted by law, Novela AI, its affiliates, directors, employees, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Service—even if we have been advised of the possibility of such damages. Our total liability shall not exceed the greater of (a) $100 or (b) the amount you paid to Novela AI in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Novela AI and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Content, or your violation of these Terms.

9. Governing Law & Dispute Resolution

9.1 Governing Law.

These Terms are governed by and construed under the laws of the State of California, without regard to conflict-of-law principles.

9.2 Informal Resolution.

Before filing a claim, you agree to contact us at hello@novelhive.ai to seek an informal resolution.

9.3 Arbitration.

If we cannot resolve the dispute informally, any claim will be finally settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in San Francisco County, California, unless we agree otherwise.

9.4 Class Action Waiver.

You and Novela AI agree to resolve disputes only on an individual basis and not as a plaintiff or class member in any purported class or representative action.

10. Changes to These Terms

We may modify these Terms at any time. Material changes will be posted on the Service and, where required, notified via email at least 30 days before they become effective. Your continued use after the effective date constitutes acceptance of the revised Terms.

11. Miscellaneous

Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and Novela AI.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force.
No Waiver. Failure to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision.
Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction.
